Tianjin Jinran Shareholders Endorse 2025 Financials and Re-appoint Auditor with 97% Support

Tianjin Jinran Public Utilities Company Limited held its 2026 annual general meeting (AGM) on 29 June 2026 in Tianjin, adopting a poll voting system for all motions.

1. Key Resolutions and Voting Outcomes • Adoption of 2025 financial statements and directors’ and auditors’ reports: 1.34 billion votes in favour (96.66%), 46.25 million against (3.34%). • Re-appointment of Wuyige Certified Public Accountants LLP as external auditor and approval of its remuneration: identical support levels—1.34 billion votes in favour (96.66%), 46.25 million against (3.34%). Both resolutions comfortably surpassed the simple-majority requirement and were passed as ordinary resolutions.

2. Shareholder Participation • Shares in issue: 1.84 billion. • Votes cast: 1.39 billion, representing a participation rate of approximately 75.34%. • No shares were subject to voting restrictions, abstentions or exclusions, and no shareholders had signalled an intention to vote against or abstain prior to the meeting.

3. Governance and Compliance • All board directors—comprising executive, non-executive, independent non-executive and employee representatives—attended the AGM in person or electronically. • Computershare Hong Kong Investor Services Limited acted as the independent scrutineer supervising the poll.

4. Next Steps With the 2025 financial statements formally adopted and the auditor re-appointed, Tianjin Jinran can proceed with its 2026 operational agenda under the reaffirmed oversight of its existing audit partner.
