Shenguan Holdings (Group) Limited confirmed that every item tabled at its 5 June 2026 annual general meeting received overwhelming approval via poll voting.
The meeting, held in Hong Kong, attracted voting rights representing 3.23 billion issued shares, with no shareholder required to abstain. All six ordinary resolutions secured at least 99.94 percent support, while the special resolution modifying the articles of association passed with 99.99 percent in favour.
Key ordinary resolutions endorsed include:
• Receipt and adoption of the 2025 audited consolidated financial statements. • Re-appointment of Ernst & Young as external auditor, with the board authorised to set remuneration. • Re-election of executive directors Mr. Sha Junqi and Mr. Li Chenglin, and independent non-executive director Mr. Tsui Yung Kwok, together with authorisation for the board to determine directors’ compensation. • Renewal of a 20 percent share-issuance mandate and a 10 percent share-repurchase mandate, plus an extension allowing any repurchased shares to be added to the issuance limit.
The special resolution approved the adoption of amended articles of association, exceeding the 75 percent threshold required.
Attendance comprised six directors in person—including Chairwoman Ms. Zhou Yaxian—and two directors via electronic means. Tricor Investor Services Limited acted as scrutineer for the poll.
With these approvals in place, Shenguan Holdings retains full corporate flexibility to raise capital, execute buybacks and implement updated governance provisions during the coming year.
