Golden Power Completes HK$4.20 Million Share Placement; New Investor Takes 14.3% Stake

Golden Power Group Holdings Limited completed its previously announced share subscription on 17 August 2026, issuing 6.49 million new shares at HK$0.65 each under its general mandate.

The transaction generated gross proceeds of HK$4.20 million and net proceeds of HK$4.10 million. Management plans to deploy around HK$3.30 million (80%) to repay banking facilities maturing within the next six months, while the remaining HK$0.80 million (20%) will be used for general working capital.

Post-deal, Golden Power’s issued share capital expanded from 38.88 million to 45.37 million shares. The incoming subscriber now holds 14.3% of the enlarged share base, qualifying as a substantial shareholder and connected person under Hong Kong listing rules. Chairman and Executive Director Mr. Chu King Tien, through Golden Villa Ltd., sees his stake diluted from 35.1% to 30.1%, and Executive Director Ms. Chu Shuk Ching’s interest declines from 4.7% to 4.0%. Public float decreases from 53.3% to 45.6%.

The share placement reinforces the company’s liquidity position ahead of near-term debt maturities while reshaping its shareholder structure with the addition of a new strategic investor.
