Bauhaus International Schedules 17 Aug 2026 AGM; Seeks 20% Issue Mandate and 10% Buy-back Authority

BAUHAUS INT'L (Bauhaus International (Holdings) Limited) has issued a notice convening its Annual General Meeting (AGM) for 17 August 2026 at 3:00 p.m. in Hong Kong’s Jade Room, Artyzen Club, Shun Tak Centre.

Key agenda items:

1. Financial statements • Shareholders will receive and consider the audited consolidated results for the year ended 31 March 2026, together with directors’ and auditors’ reports.

2. Board composition and remuneration • Re-election of Executive Director Mr Yeung Yat Hang and Independent Non-Executive Directors Ms Choi Sze Man, Mandy and Ms Chan Wing Yau, Venise. • Board authorised to fix directors’ remuneration.

3. Auditor • Proposal to re-appoint the existing auditor and empower the board to set its fee.

4. Capital authorities • General mandate to allot and issue up to 20% of the company’s issued share capital (excluding treasury shares). • Share repurchase mandate of up to 10% of the issued share capital (excluding treasury shares). • Extension mandate to increase the issue limit by the number of shares repurchased under the buy-back authority.

Logistics • Shareholders recorded on 17 August 2026 are entitled to attend and vote. • Register of members will be closed from 12 August 2026 to 17 August 2026, inclusive; share transfers must be lodged by 4:30 p.m. on 11 August 2026.
