H World Group Proposes Offshore CNY-Denominated Bond Offering Under Regulation S

H World Group Limited (formerly Huazhu Group Limited) has unveiled plans to issue CNY-denominated bonds in an offshore placement aimed exclusively at non-U.S. investors under Regulation S of the U.S. Securities Act of 1933. Exact terms—including principal amount, coupon, and tenor—will be finalized at pricing, with completion contingent on market conditions and other factors.

The company intends to allocate the net proceeds to general corporate purposes. Consistent with Regulation S requirements, the bonds will not be registered in the United States and may not be offered or sold within the U.S. or to U.S. persons absent an applicable exemption.

Management underscored that the announcement does not constitute an offer or solicitation in any jurisdiction where such activity would be unlawful. H World Group will file a Form 6-K with the U.S. Securities and Exchange Commission in connection with the planned issuance.

The board is chaired by Executive Chairman Ji Qi, with six additional directors and independent directors providing oversight. The firm reiterated that completion of the bond offering is not guaranteed and remains subject to prevailing market conditions.
