Citigroup Sees Positive Short-Term Sentiment Following GAC's Restructuring Memorandum with FAW

Citigroup has released a research report suggesting that GAC Group's (02238) announcement on the 14th regarding a material asset restructuring memorandum with FAW Group is likely to generate positive short-term sentiment. Under the proposed agreement, GAC plans to issue new shares to acquire a portion of FAW's equity interest in an unnamed vehicle manufacturing joint venture. Trading in GAC's A-shares is expected to remain suspended for no more than 10 trading days.

According to the brokerage, the target of this initiative may be linked to FAW Toyota and GAC Toyota, with the goal of addressing long-standing internal competition between the two Toyota joint ventures while also tackling their respective operational pressures. Citigroup has set a target price of HK$2.3 for GAC's H-shares and believes that this event-driven catalyst could lead to a favorable short-term reaction for both GAC Group and Zhongsheng Group Holdings (00881).

The report notes that upon completion of the transaction, FAW would become GAC's second-largest shareholder with strategic influence, while the ultimate controlling party would remain the Guangzhou State-owned Assets Supervision and Administration Commission. This move is viewed as the first concrete step in China's push to consolidate state-owned automakers, aligning with recent "15th Five-Year Plan" automotive policy calls for cross-regional integration to curb redundant competition.

A potential integration could establish a unified Toyota China platform with an annual production capacity of approximately 1.2 million to 1.3 million vehicles. Citigroup estimates that such a consolidation could reduce model cannibalization through rationalization of similar platforms, generate cost savings of around 2 to 3 percentage points in sales expenses through joint procurement, and achieve a further 1 to 2 percentage point reduction in selling and administrative costs via dealership network integration.
