Luxshare ICT’s July 2026 Return Shows Marginal A-Share Increase from Bond Conversion; HK Public Float at 4.98%

Luxshare Precision Industry Co., Ltd. (Luxshare ICT) has filed a resubmitted monthly return for the period ended 31 July 2026, detailing a negligible expansion in its A-share base and confirming full compliance with Hong Kong’s public-float requirements following its July debut on the Main Board.

Authorised and Issued Capital Movements • Authorised/registered share capital in A shares grew by 141 units to 7,341.81 million shares (par value: RMB 1 each), lifting total authorised capital to RMB 7.73 billion. • Issued A shares (excluding treasury shares) increased by 141 to 7,324.14 million. Treasury A shares were unchanged at 17.67 million. • The H-share register remained flat at 383.47 million issued shares with no treasury holdings, keeping total issued capital at 7,708 million shares across both classes.

Driver of the Increase The entire month’s net share issuance stemmed from the company’s RMB 3.00 billion Shenzhen-listed convertible bond programme. A face-value reduction of RMB 8,000 in these bonds led to the conversion of 141 new A shares at an exercise price of RMB 55.67. The outstanding principal on the convertible bonds now stands at RMB 2.98 billion, with a further 53.62 million A shares still available for future conversion.

Employee Incentive Plans All three active share-option schemes—the 2021, 2022 and 2025 Share Option Incentive Plans—showed no option exercises during July. Outstanding options remained at 12.48 million, 61.75 million and 193.83 million respectively, with no transfers from treasury shares and no cash inflows from option exercises recorded for the month.

Public Float and Compliance Luxshare ICT reconfirmed that its Hong Kong-listed H shares satisfied the Main Board’s public-float rules. As at 31 July 2026, public shareholders held 4.98% of the H-share class, equivalent to a market value of HKD 23.12 billion—well above the HKD 1 billion threshold for PRC issuers with other listed shares.

Additional Highlights • Treasury share balance unchanged; no repurchases, cancellations or transfers reported. • No warrants, other convertibles, or Hong Kong depositary receipts were outstanding or issued during the month.

The filing underscores Luxshare ICT’s stable capital structure since its Hong Kong listing on 9 July 2026, with only minimal dilution arising from convertible bond conversion and continued adherence to public-float standards.
