Victory Giant Technology Calls 18 September 2026 EGM to Approve New Restricted Share Incentive and Employee Ownership Plans

Victory Giant Technology (VGT) has issued a proxy circular convening its third Extraordinary General Meeting (EGM) of 2026 for H-shareholders at 2:30 p.m. on 18 September 2026 in Huizhou, Guangdong Province.

The Board is seeking shareholder approval for six resolutions, grouped as follows:

1. Special resolutions • Adoption of the “2026 Restricted A Share Incentive Scheme (Draft)” and its summary. • Approval of the corresponding Implementation and Assessment Measures. • Authorization empowering the Board to execute and manage all matters related to the incentive scheme.

2. Ordinary resolutions • Adoption of the “2026 First Tranche A Share Employee Share Ownership Plan (Draft)” and its summary. • Approval of Management Measures governing the first-tranche plan. • Authorization granting the Board full discretion to administer the employee share ownership plan.

Shareholders unable to attend in person may appoint proxies; completed forms must reach Computershare Hong Kong Investor Services by 2:30 p.m. on 17 September 2026. Identification documents will be required for meeting admission.

The proposed equity-based incentives underscore the company’s initiative to align management and employee interests with long-term shareholder value, pending the requisite shareholder approvals at the forthcoming EGM.
