ELIFE HLDGS Schedules 25 Aug 2026 AGM; Seeks New Mandates and M&A Upgrade

ELIFE HLDGS (00223) has issued its AGM circular, setting 25 Aug 2026 as the date for shareholders to vote on a series of corporate matters aimed at refreshing mandates and modernising governance documents.

Key Proposals • Director Re-election: Eight directors are up for re-election, including four executive directors appointed during FY26—Zhang Qixuan, Feng Zhibin, Feng Minshan and Han Wenli—and three incumbent independent non-executive directors (Lin Qiu Cheng, Wang Anxin and Wu Kwok Choi, Chris). • Audit Arrangements: HLB Hodgson Impey Cheng Limited is nominated for re-appointment as auditor for FY27, with an estimated audit fee of HK$0.70–0.80 million. • General Mandates:  – Issuance Mandate for up to 20% of issued shares (maximum 325.94 million shares).  – Repurchase Mandate for up to 10% of issued shares (maximum 162.97 million shares).  – Extension Mandate allowing the Board to add repurchased shares to the issuance limit. • Memorandum & Articles Overhaul: Adoption of amended and restated Memorandum and Articles of Association to:  – formally permit hybrid and fully electronic shareholder meetings;  – enable electronic voting and notices;  – permit holding and resale of treasury shares;  – align with Hong Kong Stock Exchange “paperless listing” rules effective June 2024;  – add housekeeping updates.

Capital Snapshot As at 23 Jul 2026 (latest practicable date), ELIFE HLDGS had 1.63 billion shares outstanding with no treasury shares.

Logistics The register of members will close from 19 Aug 2026 to 25 Aug 2026 inclusive. Shareholders must lodge transfers by 18 Aug 2026 to qualify for attendance and voting. Proxy forms must reach Tricor Investor Services or be submitted via the designated e-voting portal no later than 48 hours before the AGM.

Impact If all proposals pass, the Board will regain flexibility to finance operations or strategic investments via equity issuance, pursue share buy-backs of up to 10% of issued capital, and operate under a modernised governance framework supporting electronic participation and treasury share management.
