China Reinsurance (Group) Corporation (China Re) has issued a proxy circular to holders of its H shares, convening the company’s third Extraordinary General Meeting (EGM) of 2026 for 24 September 2026 at 9:30 a.m. in Beijing.
The agenda lists four special resolutions, each aimed at expanding the insurer’s capital-raising flexibility:
1. Granting the Board a general mandate to issue new shares. 2. Approving the issuance of domestic shares to a designated “Specific Investor.” 3. Authorising the Board and its delegates to manage all matters related to the planned issuance. 4. Endorsing a conditional share subscription agreement between China Re and the Specific Investor.
Shareholders registered with H shares of RMB1.00 par value are entitled to vote in person or by proxy. Proxy forms and related authorisation documents must be lodged with Computershare Hong Kong Investor Services by 9:30 a.m. on 23 September 2026—24 hours before the meeting.
Voting will be conducted by poll. Shareholders may indicate “For,” “Against,” or “Abstain” on each resolution; unmarked or unclear votes will be recorded as abstentions. Joint holders may vote, but precedence is given to the first-named holder on the share register.
Completion of a proxy form does not preclude a shareholder from attending and voting at the EGM in person. Identity documents will be required for admission to the meeting venues on the 6th and 24th floors of China Re Building, No. 11 Jinrong Avenue, Xicheng District, Beijing.
