Antengene Posts March 2026 Share Capital Update: No New Shares Issued, Option Cancellations Reduce Overhang

Antengene Corporation Limited reported no changes to either its authorised or issued share capital for March 2026, maintaining 2.00 billion authorised ordinary shares at a par value of USD 0.0001, equivalent to authorised capital of USD 0.20 million. Issued share capital stood unchanged at 679.24 million shares (excluding 202,500 treasury shares), keeping total issued shares at 679.45 million.

Public-float compliance remained intact, with Antengene confirming it met the minimum 25% free-float threshold stipulated by Hong Kong Main Board Rule 13.32B.

Equity incentive activity centred on option and RSU adjustments rather than new share issuance:

• 2019 Equity Incentive Plan: 806,000 options were cancelled, reducing outstanding options to 12.29 million. • 2020 Equity Incentive Plan: 3.80 million options were cancelled and 42,000 options were exercised via transfer of existing trustee-held shares, bringing outstanding options to 21.77 million. No new shares were issued and no treasury shares were utilised for settlement. • 2022 Restricted Share Unit (RSU) Scheme: 178,000 RSUs lapsed during the month, leaving 1.43 million RSUs outstanding that would require new share issuance upon vesting.

Aggregate potential dilution from all outstanding options and RSUs totals 56.20 million shares, unchanged month-on-month.

No warrants, convertible securities or other share movements were recorded in March 2026. Chairman Dr. Jay Mei submitted the filing on 9 April 2026.
