GREAT HARVEST HOLDINGS (03683) announced that the company's board of directors was informed by its Chief Executive Officer, Ms. Lin Qun, that 900,000 shares of the company (representing approximately 0.09% of the total issued shares as of the date of this announcement) beneficially owned by Glory Wealth Investments Limited (Glory Wealth) and held in a securities account under a margin financing arrangement were forcibly sold on the market on May 18, 2026, due to a failure to meet margin call requirements. Glory Wealth is a company in which Ms. Lin holds a 49% interest.
According to Paragraph A.3(a)(i) of Appendix C3 to the Listing Rules, directors are prohibited from dealing in any securities of the company during any period when the company's financial results are published and the 60-day period immediately preceding the publication date of the annual results (the blackout period). The board meeting for the approval and publication of the company's annual results for the year ended March 31, 2026, is tentatively scheduled to be held before the end of June 2026. Consequently, the sale was conducted during the blackout period.
After considering Ms. Lin's circumstances as described above, the board of directors considers that the sale conducted during the blackout period constitutes a special circumstance (as defined in Paragraph C.14 of Appendix C3 to the Listing Rules).
