GREAT HARVEST (03683) CEO-Linked Entity Forced to Sell 1.0975 Million Shares; Blackout Period Transaction Deemed Exceptional

GREAT HARVEST (03683) announced that the Board of Directors was informed by the Company's Chief Executive Officer, Ms. Lin Qun, that 1.0975 million shares of the Company, beneficially owned by Brilliant Harvest Investment Limited and held in a securities account with a margin financing arrangement, representing approximately 0.12% of the total issued shares as of the date of this announcement, were forcibly sold on the market on May 13, 2026, due to failure to meet margin call requirements. Brilliant Harvest Investment Limited is a company in which Ms. Lin Qun holds a 49% interest. According to Paragraph A.3(a)(i) of Appendix C3 to the Listing Rules, directors are prohibited from dealing in any securities of the company during any period when the company's financial results are published and the 60-day period immediately preceding the date of the annual results announcement (the blackout period). The board meeting for the publication of the Company's annual results for the year ended March 31, 2026, is tentatively scheduled to be held before the end of June 2026. Consequently, the sale was conducted during the blackout period. After considering the circumstances described above regarding Ms. Lin Qun, the Directors are of the view that the sale conducted during the blackout period constitutes an exceptional circumstance.
