B&K Corp Secures Shareholder Support for Full Share Circulation, Interim Dividend and New Share Award Scheme

B&K Corporation Limited (B&K Corp) reported unanimous shareholder approval for all agenda items at its second extraordinary general meeting held on 4 September 2026 in Qingdao.

A total of 91.95 million shares—representing 78.15% of the company’s 117.66 million issued shares—were voted by shareholders or their proxies. Tricor Investor Services Limited acted as scrutineer.

Key resolutions and voting outcomes:

• Conversion to Full Circulation – 100.00% of votes cast (91.95 million) supported the application to convert all 34.64 million unlisted shares into H-shares, eliminating the company’s dual-share structure. An associated mandate empowering the board and delegated persons to execute the application also received 100.00% approval.

• 2026 Interim Profit Distribution Plan – Unanimously approved with 100.00% support. Details of the payout were not included in the meeting documentation released today.

• Share Award Scheme – Backed by 90.11% of voting shares (82.86 million), with 9.09 million shares (9.89%) recorded as abstentions and no opposing votes. The scheme includes: – A service-provider sublimit equal to 2% of issued shares (excluding any treasury shares) at the approval date, also approved with 90.11% support. – Authorisation for the board and the scheme administrator to handle all related matters, likewise endorsed by 90.11% of votes cast.

• Articles of Association Amendments – Passed as a special resolution with 100.00% approval, exceeding the required two-thirds threshold.

No shares carried restrictions on voting, and no shareholders were required to abstain under Hong Kong Listing Rules. The meeting was chaired by Board Chairperson and Executive Director Ms Jia Lijia, with all directors attending either in person or electronically.

The decisive mandate equips B&K Corp’s board to move forward with share circulation reforms, capital returns, and equity-based incentives, signalling broad shareholder confidence in the company’s strategic direction.
