Kaisa Capital Investment Holdings Limited plans to introduce a new share scheme compliant with Chapter 17 of the Hong Kong Listing Rules. The initiative aims to grant equity-based incentives to qualified participants in recognition of past or potential contributions to the group. Adoption of the scheme is subject to shareholder approval.
To accommodate a resolution on the proposed share scheme, the board has postponed the extraordinary general meeting originally slated for 10 September 2026. The meeting will now be held on Thursday, 24 September 2026.
The related circular—detailing the share scheme, the previously announced company name change and accompanying EGM materials—is scheduled for dispatch on Monday, 7 September 2026.
For voting eligibility at the rescheduled EGM, the register of members will be closed from Monday, 21 September 2026 to Thursday, 24 September 2026, inclusive. Share transfer documents must be lodged with Tricor Investor Services Limited by 4:30 p.m. on Friday, 18 September 2026. The record date for determining shareholder entitlements is 24 September 2026.
The board composition remains unchanged, with Chairman Kwok Ying Shing, four additional executive directors and three independent non-executive directors overseeing the process.
