Trio Industrial Electronics Proposes New Articles to Align with HKEX Paperless and Treasury Share Reforms

Trio Industrial Electronics Group Limited announced plans to replace its existing amended and restated articles of association with a new set of articles.

Key objectives of the New Articles: 1. Align with recent HKEX Listing Rule amendments that expand the paperless listing regime. 2. Comply with changes to Hong Kong’s Companies Ordinance regarding the treasury-shares framework and promotion of paperless corporate communications. 3. Permit hybrid or fully electronic general meetings and clarify electronic voting procedures. 4. Incorporate consequential and housekeeping updates while ensuring consistency with prevailing Listing Rules and Hong Kong laws.

Implementation timetable: • A special resolution to adopt the New Articles will be tabled at the company’s annual general meeting scheduled for 28 May 2026. • A circular detailing the amendments, together with the AGM notice, will be dispatched to shareholders in due course.
