Trio Industrial Electronics Announces AGM Agenda: Share Issuance Mandate, Director Changes, Auditor Re-appointment and Articles Update

Trio Industrial Electronics will hold its 2026 annual general meeting on 28 May 2026 in Hong Kong to vote on several key resolutions.

The Board seeks shareholder approval for a fresh general mandate allowing Directors to issue up to 20% of the company’s issued shares—equivalent to 200 million shares based on the current 1 billion shares outstanding—and to repurchase up to 10% of issued shares over the coming year. A further resolution proposes extending the new issue mandate by the amount of shares actually bought back.

Directors up for re-election include Chairman and Executive Director Mr Wong Sze Chai and Independent Non-executive Director Mr Kan Pak Cheong. Non-executive Director Mr Kwan Tak Sum Stanley and Executive Director Mr Leung Tak Ho will retire and will not seek re-election.

The meeting will also consider re-appointing PricewaterhouseCoopers as independent auditor for the 2026 financial year, with an expected audit fee of HK$2.30 million–HK$2.50 million.

A special resolution seeks approval to replace the existing articles of association with a new set that incorporates Hong Kong’s updated Companies Ordinance provisions—covering treasury shares, paperless corporate communications and hybrid or virtual meetings—and aligns the company’s rules with recent Listing Rules requirements.

Shareholders registered by the record date of 28 May 2026 may attend and vote. The register will be closed from 22 May to 28 May 2026. Proxy forms must be lodged at Tricor Investor Services by 3:00 p.m. on 26 May 2026.

The circular, released on 28 April 2026, confirms that the Board recommends voting in favour of all proposed resolutions.
