VESON HLDG Sets 2 Jun 2026 AGM; To Vote on Director Changes, 20% Issuance Mandate and 10% Buy-back Limit

VESON HLDG has issued a notice convening its Annual General Meeting (AGM) for 10:00 a.m. on Tuesday, 2 June 2026, at the company’s head office in the Scud Industrial Park, Fuzhou Pilot Free Trade Zone, Fujian Province, PRC.

Key agenda items:

1. FY25 Results • Shareholders will receive and consider the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and auditors’ reports.

2. Board Composition • Re-election of executive directors Ms. Lian Xiu Qin and Mr. Ni Chen Hui. • Re-election of independent non-executive director (INED) Mr. Heng Ja Wei Victor. • Proposed appointment of Ms. Ho Wai Ping Linda as a new INED. • The board will be authorised to confirm the terms and remuneration for each of the above directors.

3. Auditor • Re-appointment of BDO Limited as external auditor and authorisation for the board to fix its remuneration.

4. Share Capital Mandates • General issuance mandate: authority to allot and issue new shares up to 20% of the company’s issued share capital (excluding any treasury shares) during the mandate period. • Share repurchase mandate: authority to buy back up to 10% of issued shares (excluding any treasury shares). • Mandate extension: the aggregate number of shares repurchased under the above buy-back authority may be added to the 20% issuance mandate.

Shareholder logistics:

• Register closure: 28 May – 2 June 2026 (both days inclusive); shareholders must lodge transfers by 4:30 p.m. on 27 May 2026 to qualify for AGM attendance and voting. • Record date: 2 June 2026. • Proxy forms must be deposited with Tricor Investor Services Limited no later than 48 hours before the meeting.

The meeting is expected to conclude within half a day, and attending shareholders will bear their own travel and accommodation expenses.
