Allarity Acquisition Corp. Files for IPO

Allarity Acquisition Corp. has filed for an initial public offering.

The special-purpose acquisition company said it will sell 10 million units at $10 apiece, each consisting of one Class A ordinary share and one-half of one redeemable warrant, according to a filing with the Securities and Exchange Commission Thursday.

The company has also granted underwriters a 45-day option to purchase up to an additional 1.5 million units to cover over-allotments. Maxim Group is listed as the offering's underwriter.

The company additionally said that a sponsor has committed to purchase about 1.9 million private warrants for an aggregate price of about $1.9 million.

The private placement is expected to close simultaneously with the closing of the IPO.

The company said it will receive gross proceeds of about $101.9 million from the offering, or about $116.9 million if the over-allotment option is exercised. Both figures include proceeds from the private placement.

The company plans to pursue business combinations in the life-sciences and biotechnology sectors.

The company said it applied to have its units listed on the global market tier of the Nasdaq. It expects its units will be listed under the ticker ALLNU, and that its Class A ordinary shares and warrants will be listed under the symbols ALLN and ALLNW, respectively, once the securities comprising the units begin separate trading.
